Terms of Service

1. Acceptance of Terms

By accessing or using Verse ("the App," "our Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service. These Terms constitute a legally binding agreement between you and Verse, Inc. ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years of age to use Verse. By creating an account, you represent and warrant that:

• You are at least 18 years of age;
• You are legally capable of entering into a binding contract;
• You are not prohibited from using our Service under applicable law;
• You have not been convicted of or pled no contest to a felony, a sex crime, or any crime involving violence;
• You are not required to register as a sex offender with any state, federal, or local sex offender registry.

3. Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process;
• Maintain and promptly update your account information;
• Maintain the security of your password and accept all risks of unauthorized access to your account;
• Promptly notify us at support@verseapp.com if you discover or otherwise suspect any security breaches related to your account.

You are responsible for all activity that occurs under your account. We reserve the right to terminate accounts that violate our policies.

4. Prohibited Conduct

You agree not to engage in any of the following conduct:

• Impersonating any person or entity or misrepresenting your affiliation with any person or entity;
• Posting or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
• Soliciting money from other users or engaging in any commercial activities without our express written consent;
• Transmitting spam, chain letters, or any other form of unsolicited communications;
• Using the Service for any fraudulent or unlawful purpose;
• Attempting to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service;
• Posting or sharing nude or sexually explicit content without the express consent of all parties depicted;
• Harassing, threatening, intimidating, or bullying any user;
• Collecting or storing personal data about other users without their consent;
• Using the Service to facilitate prostitution or human trafficking.

5. Content You Post

You are solely responsible for any content you post, upload, or transmit through the Service ("User Content"). By submitting User Content, you grant Verse a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content in connection with operating and improving the Service.

We reserve the right, but are not obligated, to review, screen, or monitor User Content and to remove any content that, in our sole discretion, violates these Terms or may be harmful, offensive, or objectionable.

6. Safety and Interactions with Other Users

Verse is not responsible for the conduct of its users on or off the Service. You agree to take reasonable precautions when interacting with other users, especially if you decide to meet in person. We strongly recommend:

• Meeting in a public place for the first time;
• Informing a friend or family member of your plans;
• Never leaving a drink unattended;
• Arranging your own transportation.

Verse does not conduct criminal background checks on users. We are not liable for any injuries, losses, or damages arising from your interactions with other users.

7. Subscriptions and Payments

Verse may offer paid subscriptions and in-app purchases. By subscribing, you agree to the following:

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period;
• You may manage or cancel your subscription through your app store account settings;
• No refunds will be provided for the unused portion of a subscription period, except as required by applicable law;
• Prices are subject to change with advance notice.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Verse, Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Verse, Inc.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO VERSE IN THE PAST TWELVE MONTHS.

10. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration rather than in court. You waive your right to participate in a class action lawsuit or class-wide arbitration. This arbitration agreement does not apply to claims for injunctive relief or intellectual property disputes.

Arbitration shall be conducted under the rules of the American Arbitration Association ("AAA") and shall take place in the county of your residence. The AAA's rules are available at www.adr.org.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
